We’re a UK group now entering an expansion phase and are seeking a proven and experienced international corporate structuring professional or firm to implement an offshore holding company structure that is fully compliant and tax-efficient for our case.
The Role Work closely with our CEO to deliver an offshore holding company end-to-end, selecting the jurisdiction, incorporating the holding company, securing banking and brokerage, and providing a concise operating and compliance guide.
Objectives & outcomes - Holding company owns 100% of our UK operating company. - Holding company receives post-tax UK dividends with minimal tax leakage. - Capital in holding company is used mainly for global investments, especially US stocks (with capacity for other international projects). - Live multi-currency corporate banking in USD, GBP, and EUR. - Live, low-cost, reliable brokerage for US stocks, widely used by international clients, with functionality comparable to Hargreaves Lansdown and optimised for the chosen jurisdiction. - The structure remains fully compliant while minimising tax to the legal minimum.
Scope & deliverables - Recommended jurisdiction and reasons (E.g. HK/SG/UAE or better). - Step-by-step implementation plan covering company registration, share transfer, bank & brokerage setup, and the tax structure. - Banking options and recommended brokerage platforms for US stock trading from the chosen jurisdiction. - Full cost estimate — company setup, account openings, and annual compliance fees. - Estimated timeline for completion.
Must-have experience - Candidates will only be considered if you can demonstrate all of the following, delivered end-to-end without outsourcing critical steps: - Have similar projects covering offshore holding company formation, successful corporate bank account opening for offshore entities, and brokerage onboarding for international clients trading US stocks. Provide dates, outcomes, and your role. - Verifiable references or redacted case summaries we can check. - Deep understanding of UK corporate tax, dividend flows, DTTs, and the rules in your proposed jurisdiction.
Budget and commercial terms - Budget is negotiable based on scope and proven experience. Please propose fixed, milestone-based fees tied to deliverables.
