We want to register a charity. The founders are busy with full time jobs and would like someone with experience to take on the process. We are currently registered as a Charity, but need to change to a CIO. We have backing, willing trustees and partnerships and for now, the biggest need is to get a registration and all documentation in place with the Charity Commission.
We would like the process to start soon - within the next week ideally - and be completed, depending on Charity Commission response or feedback in twelve weeks.
The deliverable would be a Charity Commission registration - specifically for a Charitable Incorporated Organisation - CIO - using the foundation model.
We would also require the setting up of a new 'Trading Company'. We would think that the subsidiary company be set up as a private a company limited by shares to reinforce the point that it will carry on charitable activity or other activity with a view to generating profits for the charity. The company should have articles of association suitable for the subsidiary of a charity. The company will have one ordinary share with a nominal value of £1 which will initially be held by the Committee members jointly until the new CIO is set up.
Once the new CIO has been registered with Companies House, it will be necessary to transfer the activities and assets to the new CIO.
We also require a licence arrangement between parent charity and its subsidiary company to enable the company to use the site for community hire and commercial purposes
The skill set we are looking for is someone who has previously registered a charity, someone used to the relevant legislation around charities, accurate form filling and record keeping.
The budget doesn't include registration and filing fees which would be additional. We have set the budget at our MAX, but we would like to see the best value for our community that we can achieve.
